Terms of Service

Last updated: April 28, 2026. These Terms govern your use of the Koali platform (koali.ca) operated by Koali Inc. By creating an account or using the platform you agree to be bound by them. If you do not agree, do not use the platform.

1. What Koali is — and is not

Koali is a quality-controlled hiring platform. Candidates purchase application credits to apply to roles; recruiters access listing and candidate-review tools through a recurring subscription. Koali charges for platform access — not for success.

Koali is not an employment agency, staffing firm, or recruiter. We do not guarantee any interview, offer, or employment outcome. Posting a role on Koali does not create an employment relationship between Koali and any candidate or recruiter. Hiring decisions are made solely by the recruiter; Koali has no involvement in final hiring decisions.

All communication between candidates and recruiters must take place on the Koali platform. Koali does not endorse, verify, or guarantee the accuracy of any role description, company representation, or candidate claim made on the platform.

2. Candidate accounts and application credits

Applying to a role consumes one (1) application credit, deducted at the time the application is successfully submitted. Credits are sold in bundles. They are non-transferable and, except as set out below, non-refundable.

When credits are refunded automatically:

  • If a recruiter fails to respond to your application within the 10-business-day SLA, Koali will automatically refund the credit to your Koali account balance.
  • If you withdraw an application while it is in Submitted or Under Review status, one credit is returned to your balance.
  • If a recruiter refreshes their applicant cohort, open applications in that cohort are archived and credits are returned to affected candidates.

Credits are not refunded for declined applications, applications where you have already received a response, or credits purchased in error.

You are responsible for the accuracy of all information you submit. You must not submit applications on behalf of another person, misrepresent your identity or qualifications, or use the platform for any purpose other than genuine job-seeking.

3. Recruiter obligations

By posting on Koali you acknowledge and agree to the Recruiter Agreement, which sets out your specific obligations, including salary disclosure, SLA compliance, non-discrimination, and candidate data handling. A summary follows.

Salary disclosure: Every listing posted on Koali must include a compensation range. Koali enforces this at the point of listing creation — a listing cannot be created without a minimum salary. Misrepresenting salary information is a breach of these Terms.

SLA obligation: You must respond to every application within 10 business days of submission. Failure to meet this window results in an automatic credit refund to the candidate and is recorded against your public response rate. Three or more SLA breaches will suspend your ability to publish new listings until resolved with the Koali team.

Genuine roles only: You may only post roles that represent genuine, active employment opportunities at your organisation. Posting fictitious roles, collecting candidate data without hiring intent, or misrepresenting the company is prohibited and may result in immediate account suspension.

Non-discrimination: You must conduct all hiring in compliance with the Ontario Human Rights Code, the Canadian Human Rights Act, and all applicable provincial and federal employment law. Koali prohibits discrimination on the basis of race, ancestry, place of origin, colour, ethnic origin, citizenship, creed, sex, sexual orientation, gender identity, gender expression, age, marital status, family status, disability, or any other protected ground.

Koali may suspend, limit, or permanently remove recruiter access for abuse, fraud, repeated SLA breaches, non-discrimination violations, or any material breach of these Terms.

4. Recruiter subscriptions and billing

Recruiter access to listing creation and publishing requires an active paid subscription. Subscription billing is handled through our payment provider (Stripe) and renews automatically according to the plan selected. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Subscription fees are non-refundable except where required by applicable consumer protection law or where Koali has made a billing error. If you believe you have been charged in error, contact billing@koali.ca within 30 days.

Confirmed placements may be recorded in the platform for analytics and platform-quality purposes. They do not trigger a placement fee or success charge unless expressly agreed in a separate written agreement with Koali.

5. Verification, moderation, and platform integrity

Koali manually vets all recruiter accounts before permitting roles to go live. Verification does not constitute an endorsement of the recruiter, their company, or the accuracy of any role description.

Koali may review listings, profiles, applications, and messages for fraud prevention, safety, and policy compliance. We may remove content, restrict features, or suspend accounts where we have reasonable grounds to believe a violation has occurred.

Users may report suspected fraudulent or misleading listings using the “Report this listing” button on any listing page. Koali investigates all reports within 2 business days. For more information on how we vet recruiters, see our Vetting Policy.

6. User conduct

You must not use the platform to:

  • Impersonate any person, company, or organisation
  • Submit false, misleading, or fraudulent information
  • Harass, intimidate, or threaten any other user
  • Collect or scrape user data without authorisation
  • Circumvent any platform security measure or rate limit
  • Use automated bots or scripts to interact with the platform
  • Post content that is unlawful, offensive, or infringes any third-party right
  • Attempt to contact candidates or recruiters outside the Koali platform using contact details obtained through the platform

Violation of these conduct rules may result in immediate suspension without notice or refund.

7. Dispute resolution

If you have a dispute with Koali, please contact us first at info@koali.ca. We aim to resolve most issues within 5 business days.

If you have a dispute with another user (a recruiter or candidate), Koali may assist as an intermediary but is not a party to any hiring relationship and has no obligation to resolve disputes between users.

Disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada, and governed by the laws of Ontario.

8. No employment guarantee

Using Koali does not guarantee employment, an interview, a response beyond the SLA minimum, or any particular outcome from any hiring process. Recruiters make all hiring decisions independently. Koali has no control over whether a recruiter extends an offer, and cannot be held responsible for any hiring outcome.

Application credits spent on roles that result in rejection, no offer, or a role that is later cancelled are not refundable, except in the SLA breach and withdrawal scenarios described in Section 2.

9. Intellectual property

You retain ownership of any content you submit (résumés, cover notes, role descriptions). By submitting content to Koali, you grant Koali a non-exclusive, royalty-free licence to store, display, and transmit that content as necessary to operate the platform.

Koali owns all platform software, design, trademarks, and brand elements. You may not reproduce, modify, or distribute any part of the Koali platform without our prior written consent.

10. Limitation of liability

To the maximum extent permitted by applicable law, Koali's total liability for any claim arising from these Terms or your use of the platform is limited to the greater of (a) the amount you paid to Koali in the 12 months preceding the claim, or (b) CAD $100.

Koali is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of employment opportunity, or any hiring outcome, even if Koali has been advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable consumer protection law.

11. Service availability

Koali aims to maintain a reliable, available service but does not guarantee uninterrupted operation. Integrations with third-party providers (email, payments, storage, authentication) may occasionally be unavailable. Koali is not liable for service interruptions beyond its reasonable control.

12. Changes to these Terms

Koali may update these Terms from time to time. Material changes will be communicated via email or an in-platform notice at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.

13. Anti-discrimination policy

Koali is committed to supporting fair, lawful, and inclusive hiring. The platform prohibits content or conduct that discriminates against any person on the basis of any ground protected under the Ontario Human Rights Code or the Canadian Human Rights Act.

Recruiters who violate this policy will have their accounts suspended and reported to the relevant regulatory body where appropriate.
